Nothing on this website constitutes a binding offer. Access to the platform may require execution of a separate services agreement.

2. Business Associate Status and HIPAA
Turnkey AI Practice Inc operates as a Business Associate to covered entities under the Health Insurance Portability and Accountability Act (“HIPAA”). Where applicable, the creation, receipt, maintenance, or transmission of Protected Health Information (“PHI”) is governed by a separate Business Associate Agreement (“BAA”) between Turnkey and the covered entity.

These Terms do not replace, modify, or supersede any executed BAA.

3. Eligibility and Authority
If you use the services on behalf of a healthcare organization or other entity, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Account Security
If access credentials are provided to you:
• You are responsible for maintaining the confidentiality of login credentials
• You are responsible for all activity conducted under your account
• You agree to notify Turnkey promptly of any unauthorized use or suspected security incident

Turnkey reserves the right to suspend access if misuse or unauthorized access is suspected.

4. Acceptable Use
You agree not to:
• Use the services in violation of applicable laws or regulations
• Attempt to gain unauthorized access to any systems or data
• Interfere with system integrity or performance
• Use the services to transmit unlawful, harmful, fraudulent, or malicious content
5. Intellectual Property
All website content, software, technology, branding, trademarks, logos, and materials provided by Turnkey are the exclusive property of Turnkey AI Practice Inc or its licensors.
Except as expressly permitted in writing, you may not copy, reproduce, modify, distribute, reverse engineer, or create derivative works based on the services.

6. Confidential Information
In connection with the services, each party may receive confidential information. You agree not to disclose or use Turnkey’s confidential information except as necessary to use the services.
PHI is governed by applicable HIPAA requirements and the terms of any executed BAA.
7. Third-Party Services
The services may integrate with or rely upon third-party providers. Turnkey is not responsible for the availability, performance, or practices of third-party services.

8. Disclaimer of Warranties
The website and services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Turnkey AI Practice Inc disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that services will be uninterrupted, error-free, or completely secure.
9. Limitation of Liability
To the maximum extent permitted by law, Turnkey AI Practice Inc shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of the services. In no event shall Turnkey’s total liability exceed the amount paid by the customer to Turnkey for services in the twelve (12) months preceding the claim giving rise to liability.
10. Indemnification
You agree to indemnify, defend, and hold harmless Turnkey AI Practice Inc and its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses arising from:
• Your misuse of the services
• Your violation of these Terms
• Your violation of applicable law
• Your unauthorized disclosure of data

11. Termination
Turnkey may suspend or terminate access to the website or services if these Terms are violated or if required by law. Termination of services under a separate written agreement will be governed by that agreement.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

Turnkey reserves the right to update or modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of the website or services constitutes acceptance of the updated Terms.
